The Securities and Exchange Commission, which sets a hefty number of regulations for the companies on Wall Street, is a notoriously tough regulator. Yet it also has to keep up with the times in order to stay relevant, as financial technologies like blockchain are changing the way that money moves around the world. "SEC scandal" is a term that rolls off the tongue, a clumsy roll that has never lost its alliterative meaning or added the complexity or the many shades of truth. A phrase coined in the 20th century, just a passing slur to reflect and yet so much more.
"SEC scandal" had been a term that Gerald Armstrong knew and made his mark, a mark that had once been a part of the phrase, a passing slur that had slipped his lips. Armstrong had used the phrase on several occasions, but he never thought it would catch on, that it would be some kind of an acronym for a phrase. Armstrong may have been wrong in his assumptions, but the SEC scandal was still a reality...
The scandal had started a long time ago, when Armstrong had been a young man of twenty-two, fresh out of college and making his first earnings. It was his first real earnings. Armstrong had been working in his father's accounting firm; he had been an accountant who had recently quit his job with the firm to be a fully-fledged accountant himself, but there was a corporate merger and with it came some changes. The firm Armstrong was working for had merged with another and then the firm Armstrong joined with another. The old employer's clients had been combined with the new firm's and then some more, thus making the firm Armstrong had joined nearly ubiquitously the same.
The salary had gone up few years back, but so had the competition and the pressure Armstrong had endured in his position. Armstrong enjoyed keeping track of the finances, but there was always some new mandate or form to fill out before the due date. Sometimes, Armstrong had thought that he wasn't getting paid enough; sometimes he thought he had gotten a promotion too soon. But Armstrong was getting a salary and enough savings to last him until he could rebuild.
Armstrong was in his office, reading an old magazine while sipping a hot coffee. The coffee was from the machine and reheated. Armstrong was halfway through the article in the magazine, but had distracted himself because of the distracting noises from outside his office.
There was a loud crashing sound, a sound that made Armstrong uncomfortable. There had always been loud noises in his office, but Armstrong wasn't usually bothered.
"Can I help you?" Armstrong said to whoever it was outside running his path.
"Armsy, it's me, Brian. Let me in."
Armstrong knew that voice and that name; he wasn't sure how he knew them. He hadn't seen Brian for a while, except during the days and holidays when they had bumped into each other. Brian was a man he had known, a man he had always had an easy and friendly relationship with. Brian was good to him.
Armstrong stood up and opened the door. Brian was still in his early twenties, though he was not someone Armstrong had thought of as being young. In fact, he was exactly what Armstrong had been twenty-two years back; still in his early twenties, with some good savings and the experience of the older red-headed young man.
"So what do you want to need of me, Brian?" Armstrong had said, as he stood in the doorway.
Brian had looked at him with a wounded expression on his face. Armstrong was surprised by Brian's expression, as he had thought Brian was happy to see him.
"Armsy, it's good to see you man." Brian said, as he had walked to Armstrong and hugged him. "It's been a while and I had no idea you were back in town."
Armstrong had returned the hug. "Yes, I have. What is it you need?"
"Armsy, I need a favor. I need something to take my mind off some things. You up to it? You up for a bit of fun?"
"Depends. What kind of fun?"
"I want you to look after my kid sick grandmother and pick up my kid sister from the school. But there is a catch to it."
"What's the catch?"
"You have to bring them to my place and you have to pick up a few things from our place as well. We don't keep that much stuff at our place, but you know where stuff that we do keep is located."
Armstrong knew where everything was located at Brian's place. Armstrong and Brian had turned out to be close friends. Armstrong had always had a closer-than-average relationship with his father. That partly came from Armstrong's maternal side. He didn't have any brothers or sisters.
"It's good to be back in town" Armstrong said.

SEC filing services allow any company or individual who wants to do business on Wall Street but is not intent on becoming an SEC registrant (read: big player) to file periodic reports directly with SEC staff, rather than with the agency’s EDGAR database. In other words, by outsourcing their paperwork to the SEC, companies can remain private “shell” companies for as long as they so choose; the advantage of which is that no SEC filing company has to deal with the public releases that many businesses find cumbersome and distracting.
Securities and Exchange Commission Filing Services are part of a larger group of regulatory products that also include SRO Filing Services (like stock exchange memberships) and Foreign Private Issuer Filing Services.
By the way, Filing Services are also available for companies that want to file with more than one government agency at the same time. For example, if you want to file with the SEC and with FINRA (as many broker-dealers traditionally do, even though they are not registered with SEC) in addition to an independent registration status like COBO or a foreign registration under Regulation S.

Chapter 1 Introduction
A few weeks ago I had an enlightening experience with the SEC. It began when I received a call from the Caller ID on my cell phone, which listed "SEC." However, when I pressed "up" to take the call, I was immediately put on hold. The hold music was not pleasant, but it wasn't horrible either. After just a minute or two of this musical torture, the voice on the other end came back on and informed me that he would only be able to help me if I first submitted several forms online through SEC Filing Services Center (the name of their business). I explained that the SEC is a federal agency, not a commercial business. SEC Filing Services Center (the name of their business) forwarded me to the SEC’s website where I could submit forms. That's when he informed me that my information was inaccurate and insisted I had to go through him.
I'm all for trying new things, and I wanted to find out what else they could do for me. After discussing my options with him and telling him where I worked, he informed me that all of my information was incorrect because I didn't work at SEC Filing Services Center. Instead, they were a subsidiary of SEC Filings Inc (the name of their business).
And that's when the fun began.
SEC Filings Inc is a publicly traded company whose stock trades on the NASDAQ. They were happy to help me, but they were also very surprised that I thought the SEC was a government agency. In fact, almost all of the callers to their service center shared this misconception. Their websites tout them as one of the “nation’s leading providers of private-brand Filing Services on behalf of well-known companies seeking privacy from public scrutiny and register as private companies under SEC rules” (http://www1.secfilingsinc.
